1. Agreement
These Terms of Service ("Terms") govern access to AutoPermit's website and application (the "Service") operated by AutoPermit ("we," "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer," "you").
2. The Service
AutoPermit is permit operations infrastructure—job tracking, document management, readiness validation, status ledger, alerts, and submission pack export. We do not file permits with authorities on your behalf unless explicitly agreed in a separate written contract.
The Service may suggest document fields using automated extraction. You are responsible for reviewing all fields before they affect readiness, submissions, or exports.
3. Accounts and organizations
- You must provide accurate registration information and keep credentials secure.
- Workspace owners control membership, roles, and billing.
- You are responsible for activity under your accounts and for inviting only authorized users.
- Data in a workspace is visible to members according to permissions you assign.
4. Customer data
You retain ownership of data you submit ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. Our use of personal data is described in the Privacy Policy.
You represent that you have the rights to upload Customer Data and that it does not violate law or third-party rights.
5. Acceptable use
You agree not to:
- Use the Service for unlawful purposes or in violation of AHJ rules
- Scrape, crawl, or automate access to government portals without authorization, or use AutoPermit to circumvent portal terms of use
- Attempt to breach security, probe vulnerabilities, or access other organizations' data
- Reverse engineer the Service except where permitted by law
- Resell or sublicense the Service without written permission
- Upload malware or content that disrupts the Service
We may suspend or terminate access for material violations. See our Acceptable Use expectations in the Security documentation for operational guidance.
6. Subscriptions and payment
- Paid plans (Starter, Pro) are billed monthly through our payment provider (Lemon Squeezy) unless otherwise stated.
- Fees are non-refundable except where required by law or explicitly stated in writing.
- Plan limits (jobs, seats, features) are described on our Pricing page and may change with notice.
- You may cancel paid subscriptions; access continues through the current billing period.
- We may change prices with reasonable notice; changes apply to the next renewal.
7. Free tier
The Free plan is offered at our discretion with usage limits. We may modify or discontinue Free access with notice.
8. Availability and support
We strive for reliable uptime but do not guarantee uninterrupted access. Maintenance, third-party outages, and force majeure may affect availability. Support scope depends on your plan; Pro includes priority support as described on the Pricing page.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT PERMIT APPLICATIONS WILL BE APPROVED, THAT STATUS INFORMATION IS COMPLETE, OR THAT THE SERVICE REPLACES PROFESSIONAL LEGAL OR COMPLIANCE ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOPERMIT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, CREW DOWNTIME, PERMIT DELAYS, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You will defend and indemnify us against claims arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.
12. Termination
Either party may terminate by closing the account or ceasing use. We may suspend or terminate for breach, risk to other customers, or legal requirement. Upon termination, your right to access ends; export obligations and surviving sections (payment, liability, indemnity) remain in effect.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles, except where mandatory consumer protections apply in your country of residence. Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by law.
14. Changes
We may update these Terms. Continued use after the effective date constitutes acceptance. Material changes will be communicated via email or in-app notice when practicable.
